Terms & Conditions

1. Parties

• Amdeas Limited (trading as Lemon Hive) incorporated and registered in England and Wales with company number 11096607 whose registered office is at 20-22 Wenlock Road, London, N1 7GU (“the Company”).
• The customer is as defined during communication, proposal, SRS, or other (“the Customer” or “the Client”).

Introduction

The Terms and Conditions below shall apply to the proposal, work order, work set out, any proposal or communication (email/SRS etc.), attached or supplied previously and any subsequent contract between the Company and the Customer for the supply of the services or products detailed in the proposal, work order, SRS, email, or supplied as a proposal.

Definitions

The Customer - you, your or client or buyer - means the person or organisation who buys or agrees to buy services from The Company.

• Agreement - means these terms and conditions of sale set out herein and any special terms and conditions agreed in writing by the Company.
• Services - means the services, which the buyer agrees to buy from the Company as set out in clause 5 and the proposal.
• Price - means the price for the services exclusive of VAT.

2. Formation of a Contract

• The pricing given on or attached to this Agreement will only remain valid for a period of 45 days.
• Signing of an order form or the receipt by the Company of an email requesting to proceed will be deemed as conclusive evidence of the acceptance of this Agreement.
• Acknowledgment and acceptance of this proposal is made by you placing an order within the specified period in paragraph 2.1 above, at which time you will be bound by this Agreement. Each proposal accepted shall constitute an individual legally binding contract between you and us. Such contract is hereinafter referred to in these terms and conditions as "an order".
• No addition, alteration, substitution or waiver of this Agreement will be valid unless expressly accepted in writing by the Company or a person authorised to sign on the Company’s behalf.
• Nothing in this Agreement shall prejudice any condition or warranty expressed or implied, or any legal remedy to which we may be entitled in relation to the goods / and or the work the subject of this order.
• Where the work or services extend over more than one invoice period, each invoice raised shall be deemed to be a separate contract and the Client shall pay in full the amount payable under the invoice raised, notwithstanding any rights which the Client may claim in respect of any other services under any other contract between the parties.

3. Delivery Dates and Milestones

• The Company warrants that:
  • it will perform the Services with reasonable care and skill and in accordance with generally recognised commercial practices and standards; and
  • it will endeavour to deliver to Customer all deliverables and milestones, in the timescale set out in the proposal. The Customer acknowledges, however, that this delivery deadline and the other milestones, are estimates, and are not required delivery dates.
  • The Customer shall retain all its intellectual property rights in any text, images or other components it owns and delivers to Company for use in the services rendered under this agreement.
